These Terms and Conditions (“Agreement”) apply to all services provided by Valexic (“we”, “us” or “our”) to you, the client (“you” or “your”). By engaging Valexic for any marketing services, you agree to be bound by the terms outlined below.

1. Services

Valexic provides Google Ads marketing services. Our services are delivered flexibly based on the needs of your business, and may include strategic planning, campaign setup, management, optimisation, reporting, and consultation.

2. Fees and Payment

• Fees for services will be confirmed in advance and invoiced monthly.

• Invoices are payable within 30 days of the issue date unless otherwise agreed.

• Valexic reserves the right to pause services if invoices remain unpaid beyond 30 days.

• All prices are exclusive of VAT (if applicable) unless stated otherwise.

3. Client Responsibilities

You agree to:

• Provide timely access to relevant platforms, logins, and assets needed to deliver services.

• Ensure that any data, content or materials provided are accurate, lawful, and compliant with advertising platform policies.

• Cooperate in a timely manner to avoid delays in campaign execution and management.

4. Data Protection

Valexic complies with the UK GDPR. In instances where clients share personal data (such as customer names, emails, or phone numbers), we act as a data processor. This data is:

• Stored securely within Google Workspace, a GDPR-compliant platform

• Used solely for the purposes requested by the client

• Protected with appropriate security measures

5. Confidentiality

Both parties agree to treat all commercially sensitive and proprietary information exchanged during the working relationship as confidential. This includes performance data, strategies, customer details, and budgets.

This obligation continues after termination of services.

6. Intellectual Property

All advertising assets, content, and campaign data developed by Valexic become the property of the client upon full payment. Valexic may showcase anonymised or aggregate results for case studies or marketing purposes unless requested not to in writing.

7. Performance Disclaimer

While Valexic will always strive to deliver the best possible results, digital advertising performance is inherently variable. We do not guarantee specific outcomes such as traffic volumes, conversions, or return on ad spend.

8. Liability

To the fullest extent permitted by law:

• Valexic shall not be held liable for any indirect, incidental, or consequential losses arising from the use of our services.

• Our total liability is limited to the total amount paid for services in the three (3) months preceding any claim.

9. Cancellation

You may cancel services at any time by notifying us in writing (email is sufficient). No further charges will apply for future months beyond the cancellation date. Services will continue until the end of the current billing period.

10. Governing Law

These Terms are governed by and interpreted in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Amendments

Valexic reserves the right to update these Terms from time to time. Clients will be notified of any material changes, and continued use of our services constitutes acceptance of the updated terms.
